Terms of Use

By accessing or using the STAYVN platform (“Service”) you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

STAYVN is an enterprise decision intelligence platform that enables teams to run AI-powered analysis across document libraries and produce cited, structured answers. The Service includes document ingestion, AI orchestration, a Decision Grid interface, report generation, and team collaboration features.

To use the Service you must create an account with a valid email address or a supported OAuth provider. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. You may not share your account credentials with any third party.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload content that infringes on third-party intellectual property rights
• Upload malicious code, viruses, or any software intended to disrupt the Service
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use the Service to transmit unsolicited commercial communications
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or sublicense access to the Service without our written permission
• Use automated means to scrape or extract data from the Service in bulk

You retain all ownership rights in the documents and data you upload to the Service (“Your Content”). By uploading Your Content you grant STAYVN a limited, non-exclusive, worldwide license to store, process, and transmit Your Content solely to provide the Service to you. We do not use Your Content to train AI models or for any purpose beyond operating the Service.

You are solely responsible for ensuring that Your Content does not violate any applicable laws, third-party rights, or these Terms. We reserve the right to remove content that violates these Terms without prior notice.

The Service, including its software, design, branding, and documentation, is owned by STAYVN and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or logos without our prior written consent.

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

Access to certain features of the Service may require a paid subscription. Pricing and payment terms are presented at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change pricing with 30 days’ notice.

We reserve the right to suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or if we are required to do so by law. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED ANSWERS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL LEGAL, FINANCIAL, OR REGULATORY ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAYVN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO STAYVN IN THE TWELVE MONTHS PRECEDING THE CLAIM.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
